4.3 The obligations of confidentiality shall survive the termination or expiration of this Agreement.

5. Term and Termination

5.1 This Agreement shall commence on the date of registration on the Global Solar Hub Platform and shall continue until terminated by either party.

5.2 Either party may terminate this Agreement by providing written notice to the other party.

5.3 Upon termination, the Vendor shall cease providing services through the Global Solar Hub marketplace, and any outstanding fees or payments shall be settled according to the agreed-upon terms.

6. Governing Law and Jurisdiction

6.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada.

6.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Clark County Court of the state of Nevada.

7. Entire Agreement

7.1 This Agreement constitutes the entire agreement between Global Solar Hub and the Vendor and supersedes all prior agreements, understandings, or representations, whether oral or written.

7.2 Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

8. Additional Provisions

8.1 Indemnification: Vendors agree to indemnify, defend, and hold harmless Global Solar Hub from any claims, damages, losses, or expenses arising out of or related to their participation in the marketplace.

8.2 Intellectual Property: Vendors retain all rights to their intellectual property. However, by listing products and services on Global Solar Hub, Vendors grant Global Solar Hub a non-exclusive, worldwide, royalty-free license to use, display, and promote their listings.

8.3 Compliance with Laws: Vendors agree to comply with all applicable laws and regulations related to their participation in the Global Solar Hub marketplace.

8.4 Customer Support Services: Vendors agree to provide support services directly to customers and handle all customer inquiries, complaints, and issues. All communications’ data shall be provided to Global Solar Hub during any disputes to ensure transparency and resolution.

8.5 Policies and Rules: Vendors shall publish their policies and rules on the marketplace in their designated area within their stores. This includes return policies, warranty information, and any other relevant terms that customers need to be aware of.
